Wolf Theiss Advises on Accell Group’s Successful Recapitalisation

Wolf Theiss, acting as Hungarian counsel to a consortium of lenders, advised on the successful recapitalisation of Accell Group, a European market leader in ebikes and the second largest in bicycle parts and accessories.

The transaction involved amendments to Accell Group’s existing asset-backed facilities agreement, including an extension of its maturity date to 2030 and a facility upsize of approximately EUR 235 million. These measures are designed to stabilise Accell Group’s financial position as part of a wider recapitalisation to support the acceleration of its business strategy. The recapitalisation was implemented following the sanctioning of a Scheme of Arrangement by the English High Court on 23 January 2025, after a process initiated in October 2024 that involved creditor negotiations and a vote of support from the majority of Accell’s financial creditors.

The Wolf Theiss Banking team advising on the transaction included Gergely Szalóki (Senior Associate, Banking & Finance), László Lovas (Associate, Banking & Finance), Noémi Csiki (Associate, Banking & Finance) and Viktória Horváth (Associate, Banking & Finance). The team advised on all Hungarian legal and regulatory aspects of the transaction, particularly drafting and negotiating all required transaction documents.

Linklaters acted as lead counsel.
