XXX. AmCham General Assembly

Dear AmCham Member,

In the capacity of the President of the American Chamber of Commerce in Hungary, I would like to invite you to the XXX. General Assembly to be held on Wednesday, May 22, 2019 with the objective to vote on the By-Laws proposals.

The Assembly will be at MetLife Hungary, 1138 Budapest, Népfürdő utca 22.

After the XXIX. General Assembly, the Board consulted with some of the past presidents of AmCham about the rights of honorary members. The Past Presidents made several constructive suggestions about the recommended by-laws changes, a number of which are already included in the mentioned proposal.

We would like to thank the Past Presidents for agreeing to put their requests aside and support the new By-Laws proposal so we can be fully in conformity with the letter of the law. 

 Please note that there will be no elections at the upcoming General Assembly on May 22 as the terms of office do not end until the end of the year / December. The open board positions will be announced 60 days before the XXXI. General Assembly to be held in December.

I encourage you all to give us feedback and comment on the proposed By-Laws changes before the Assembly. Your opinion is valuable to us. We are looking forward to seeing you on May 22.

 Quorum:

According to the By-Laws of AmCham, Article III. paragraph 3.1.8. “A General Assembly shall have a quorum if 20 % of the Members who are entitled to vote at General Assemblies are present. If the General Assembly does not have a quorum, another General Assembly can be called by the President no earlier than 30 minutes and no later than 30 days after the original General Assembly with the same agenda as the original General Assembly, …”

 Therefore, if there is no quorum at 9 a.m., another General Assembly will be called for at 9:30 a.m. on the same day (May 22nd) with the same Agenda.

 

Voting:

Please note that according to the By-Laws, Article III. Paragraph 3.1.14. “Each Member has the right to vote at the General Assembly except for Honorary Members and Members who have not paid their dues in full.”

I encourage you all to participate and express your opinion by exercising your voting right.

 

Absentee voting:

Please note that according to the By-Laws there will be no absentee voting, all votes must be cast in the room where the AGA takes place.

As per the By-laws (2.4.3.):

“…Members who are entitled to vote at a General Assembly and are not able attend a General Assembly may exercise their voting rights at the General Assembly by proxy. However, they cannot exercise their voting rights by submitting votes using absentee voting ballots.”
